1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Vista Trinity LLP ("Company," "we," "us," or "our") governing your use of our website and shipping and logistics services.

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access the website or use our services.

2. Services

Vista Trinity LLP provides the following services:

Freight Forwarding: Coordination and management of cargo shipments via sea, air, and land routes
Container Trading: Sale, purchase, and leasing of new and used shipping containers
Container Services: Maintenance, repair, and modification of shipping containers
Customs Clearance: Documentation and clearance assistance for import/export shipments
Warehousing: Short-term and long-term storage solutions

3. Quotations and Pricing

3.1 Quotations

All quotations provided are valid for 7 days from the date of issue unless otherwise specified. Quotations are subject to change based on current market rates, fuel surcharges, and other variable factors.

3.2 Pricing

Our prices are quoted in Indian Rupees (INR) unless otherwise specified and are exclusive of:

Goods and Services Tax (GST) and other applicable taxes
Customs duties and import/export fees
Insurance (unless specifically included)
Storage and demurrage charges
Any special handling or documentation requirements

4. Payment Terms

4.1 Payment Methods

We accept payment via bank transfer, cheque, and online payment methods as specified in our invoices.

4.2 Payment Schedule

For new clients: 100% advance payment before shipment booking
For established clients: Payment terms as per mutual agreement
Container trading: As per individual contract terms

4.3 Late Payment

Late payments may incur interest charges at 2% per month on the outstanding amount. We reserve the right to suspend services and retain cargo until all outstanding payments are received.

5. Booking and Cancellation

5.1 Booking Confirmation

Bookings are confirmed only upon receipt of written confirmation and advance payment (where applicable). Space and equipment availability is subject to carrier confirmation.

5.2 Cancellation Policy

Cancellations made 7+ days before shipment: Full refund minus administrative charges
Cancellations made 3-7 days before shipment: 50% refund
Cancellations made less than 3 days before shipment: No refund

5.3 Amendments

Any changes to confirmed bookings may incur additional charges and are subject to carrier approval and space availability.

6. Cargo and Documentation

6.1 Client Responsibilities

The client is responsible for:

Providing accurate and complete cargo descriptions and documentation
Ensuring goods comply with all applicable laws and regulations
Proper packaging and labeling of cargo
Obtaining necessary licenses, permits, and certificates
Declaring hazardous goods in accordance with IMDG/IATA regulations

6.2 Prohibited Goods

We do not accept shipments of:

Illegal or contraband goods
Weapons, explosives, or ammunition (without proper authorization)
Narcotics and controlled substances
Live animals (unless specifically arranged)
Any goods prohibited by applicable laws or carrier regulations

7. Liability and Insurance

7.1 Limitation of Liability

Our liability for loss, damage, or delay is limited to the terms and conditions of the relevant carrier's bill of lading or airway bill. We act as an agent and our liability is limited to that of a freight forwarder under the FIATA standard trading conditions.

7.2 Maximum Liability

Unless otherwise agreed in writing, our maximum liability shall not exceed:

For sea freight: 2 SDR per kilogram or the actual value of goods, whichever is lower
For air freight: 19 SDR per kilogram or the actual value of goods, whichever is lower
For warehousing: The declared value or INR 50,000, whichever is lower

7.3 Insurance

We strongly recommend that clients obtain appropriate marine/cargo insurance. We can arrange insurance coverage upon request at additional cost. Claims must be filed within 7 days of delivery for visible damage and 14 days for concealed damage.

8. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, civil unrest, strikes, government actions, pandemics, port congestion, or carrier delays.

9. Indemnification

You agree to indemnify and hold harmless Vista Trinity LLP, its directors, employees, and agents from any claims, damages, losses, or expenses arising from your breach of these Terms, provision of inaccurate information, or violation of any applicable laws or third-party rights.

10. Intellectual Property

All content on our website, including logos, text, graphics, and software, is the property of Vista Trinity LLP and is protected by intellectual property laws. You may not reproduce, distribute, or use any content without our prior written consent.

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.

11.2 Arbitration

Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through mediation. If mediation fails, disputes shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India, with the seat of arbitration being Mumbai.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any changes constitutes acceptance of the modified Terms.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
